Our firm has extensive expertise and experience representing financial institutions on a nationwide basis in all aspects of commercial real estate lending. Our real estate finance attorneys have broad-based knowledge of all types of real estate financing including acquisition, development, rehabilitation, and construction financing, and we have extensive experience in CMBS lending. Our practice includes all market segments including multi-family, office, retail, industrial, residential lot development, and mixed-use developments. Our experience and depth allow us to effectively and efficiently structure, document, negotiate and close even the most complicated commercial real estate transactions. Our real estate finance attorneys also have significant experience in real estate loan workouts and restructures.

Commercial Finance

Our firm has long been recognized for its expertise in commercial finance. Our commercial finance attorneys represent a wide range of national, regional and local financial institutions giving our attorneys a broad perspective in negotiating, documenting, and restructuring complex loans and combination debt and equity transactions across all types of facilities such as working capital loans, acquisition financing, letter of credit facilities, revolving credit, and unsecured credit facilities. Our commercial finance attorneys are experienced in project finance transactions, asset-backed lending involving a wide variety of assets, accounts receivable and inventory financing, equipment financing including aircraft and other specialized assets, syndicated loans, sale/leasebacks, letter of credit facilities, factoring transactions, and loan participations.

Energy Finance

Our firm also has significant expertise and experience in the representation of financial institutions in connection with their energy lending. Our energy finance attorneys have a broad perspective in structuring, documenting, negotiating, closing, and, if required, restructuring all types of complex oil and gas financing, including representing the administrative agent on syndicated loans involving multiple banks on a secured and unsecured basis. In addition, the firm’s energy finance attorneys have experience in conducting title due diligence with respect to secured loans and documenting issues related to commodity hedges and similar transactions.

MCS has a significant corporate trust practice representing national and regional banks that serve as trustees under indentures for the issuance of bonds, notes and debentures and as escrow agents, collateral agents, exchange agents or depositories under a myriad of taxable and tax-free transactions.
