Our Team

Zeb’s practice focuses on commercial lending, real estate, and corporate matters.  His commercial lending experience includes the representation of lenders and borrowers in a variety of matters including loans for the construction and acquisition of multifamily, retail, office, hospitality, medical, assisted living, and other projects.  In addition to traditional commercial lending, Zeb serves as trustee’s counsel for corporate and municipal bond issuances.  With respect to real estate matters, Zeb has experience representing local companies as well as some of the nation’s largest real estate firms in the acquisition and disposition of all types of real property, in both single-asset and multi-asset transactions.  His corporate experience ranges from planning for and forming entities for start-ups to corporate transactions with established companies.  These structures include single level and multi-tiered organizations designed to achieve the particular strategic, operational, liability-limitation, tax, and other goals of the client.  In addition, Zeb’s corporate experience includes representing clients in the acquisition and disposition of corporate assets, including capital assets, partnerships, and limited liability companies. Zeb currently heads the firm’s Finance practice group.

Zeb graduated from Brigham Young University with a major in Business Management and an emphasis in Entrepreneurship and Finance. He graduated from the Baylor University School of Law with a Juris Doctorate, where he was a repeated dean’s list honoree and the two-time corporate scholar recipient.

    • Traditional Financing
      • Represented lenders in the preparation and negotiation of loan documents for a variety of loans in amounts ranging from approximately $3,000,000 to $65,000,000 secured by real and personal property assets, including hospital facilities, apartment complexes, commercial and industrial space, manufacturing and construction equipment, art work, vehicles, and other assets
    • Bond Financing
      • Assisted in the representation of trustees in connection with the issuance of municipal, taxable and tax-exempt bonds in amounts ranging from approximately $7,000,000 to $230,000,000 for the development of educational facilities, sports arenas, senior housing, medical facilities and other assets
  • Corporate Matters
    • Represented publicly traded company in the organizational restructure of public and private subsidiary entities operating in multiple jurisdictions
    • Prepared and negotiated various purchase and sale agreements and performed due diligence with respect to a variety of assets relating thereto
    • Created and implemented strategic organizational structures for existing as well as new ventures
  • Real Property Matters
    • Represented equity fund in the acquisition of numerous real estate portfolios, including industrial, office, multi-family, and hotel properties, ranging in value from $2,000,000,000 to $5,000,000,000
    • Represented governmental, public, and private entities in the disposition of numerous multi-family, hospitality and other commercial assets ranging in value from $20,000,000 to $1,400,000,000
    • Represented health care and development clients in the acquisition and development of raw land in multiple jurisdictions
    • Represented real estate client in a corporate reorganization involving numerous retail property acquisitions ranging in value from approximately $3,000,000 to $4,500,000
