THOMAS J. HOWELL
Biography
Thomas began his practice of law in Dallas after graduating from law school in 1975. He clerked for Mobil Oil Corporation during law school and went to work as in-house counsel for Mobil, and later for two other NYSE-listed companies, before going into private practice in 1987. His private practice experience includes serving as general counsel for a NASDAQ-listed company for approximately seven years. Thomas practices primarily in the following areas: oil, gas and mineral law; corporate and general business law; business transactions, including mergers and acquisitions; counseling in business formation, choice of entity and operations; contract negotiations and drafting; wills and estate planning; and private placements under state and federal securities laws. Thomas was a line officer on active duty with the U.S. Navy before attending law school.
Representative Experience
- Purchase and sale of oil and gas properties, including minerals and working interest.
- Conduct of due diligence regarding the purchase and sale of oil and gas properties or companies.
- Representing landowners leasing minerals in the Barnett Shale and elsewhere.
- Shareholder disputes in closely-held companies.
- Representing issuers in private placements of securities, including oil and gas interests, and related state and federal securities compliance.
